Why the "Why" Matters More Than the "What"

The biggest reason SME acquisitions fail isn't a broken financial model or a missed due diligence item. It's a fuzzy or poorly explained reason for doing the deal in the first place.

Before you talk to anyone about a potential target, you need to be able to answer—clearly and precisely—why you're doing this and what you expect it to accomplish. That sounds obvious, but you'd be surprised how many deals move forward without a real answer to that question.

Here's what happens when you skip this step: You end up overpaying, struggling through integration, and unable to explain to your team, your customers, and your lenders why this acquisition was worth the disruption. Your employees don't know what's changing and what isn't. Your customers wonder if the service will stay the same. Your lenders worry about whether you've just made a bad bet.

M&A isn't a shortcut for organic growth, and it's definitely not a Band-Aid for internal problems. An acquisition amplifies what you already have—your strengths and your weaknesses. If you go into a deal without a clear thesis, you're going to struggle.

What Do Most SME Acquirers Actually Want?

Here are the real reasons we see SME owners acquire businesses. Each one demands a different approach to due diligence and integration:

Market expansion. You want to enter a new geographic market or serve a new customer segment. The big risk here is whether the target's customer relationships actually belong to the company or just to the founder. If it's the latter, you could lose those customers the moment you take over.
Capability acquisition. You need talent, technology, or know-how that would take years to build from scratch. If you're buying for talent, keep in mind that talented people have options—you'll need a real plan to keep them around after the deal closes.
Revenue and client base growth. You're buying a competitor or a complementary business to scale fast. Watch out for customer contracts with change-of-control clauses—these let key clients walk away as soon as you close the deal.
Vertical integration. You want to own your supply chain or your distribution network to cut costs or improve margins. But be honest: will the savings actually justify the complexity of managing a completely different business? Sometimes the answer is no.
Succession-driven opportunity. A founder or family business owner is retiring with no one to take over. These deals can be attractive, but they come with specific accounting and people risks that we'll cover later.
Diversification. You're adding a new product line or service. This is usually the riskiest reason to acquire, because you're moving into territory where you don't have operational experience.

Turn Your Objective Into Actual Criteria

Once you know why you're doing this, translate it into specific, measurable criteria before you start looking at targets. These criteria should include:

Target size (by revenue, headcount, or EBITDA—pick what matters to you)
Industry or sector
Geographic scope
Maximum purchase price you're willing to pay (and stick to it)
Financial minimums (like minimum EBITDA margin, or revenue growth rate)
Deal-breaker conditions (like customer concentration above a certain level, or pending lawsuits)

This discipline saves you from accepting a bad fit just because an opportunity drops into your lap. When a target appears and it ticks your boxes, you move forward. When it doesn't, you move on—no emotion, no FOMO.

Get Everyone on the Same Page Before You Start

Acquiring another business is a company-defining decision. It'll eat up your management time, tie up your capital, and add complexity to your operations. Before you approach any target, make sure your leadership team, key functional leaders, your board (if you have one), and your main lenders or investors are actually aligned on why you're doing this and willing to put in the work.

A leadership team that's misaligned mid-deal is one of the most expensive problems you can have. It always surfaces at the worst possible moment—usually in the middle of negotiations or when you're trying to integrate the business.
